1. Acceptance of Terms

By accessing or using autoapx.com (the "Site") or engaging Apex Automations LLC ("Company," "we," "us," or "our") for services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site. These Terms apply to all visitors and to anyone who contacts us through the Site.

2. What We Do

Apex Automations is a consulting and implementation studio. We advise on business operations, design and implement AI and automation systems, and build or optimize websites for our clients. We work with businesses across industries, most often those that run on appointments, phone calls, or orders.

We are a services business, not a software product. We do not operate a subscription platform, we do not sell seats, and there is nothing on this Site to log into. Every engagement is defined in a separate written proposal or statement of work agreed with the client.

3. Use of This Site

The Site is informational. It describes our services and gives you two ways to reach us: booking a consultation through our scheduling provider, and requesting a free site scan through the form on our free scan page.

The Site does not require an account. We do not issue credentials, and we will never ask you to create a password here. Content on the Site is provided for general information and does not constitute professional, legal, financial, or investment advice.

4. Free Site Scan and Consultations

The free site scan is exactly that: free, and offered without obligation on either side. When you request one, you are asking us to review publicly available aspects of your website, such as search visibility, page speed, mobile experience, and how the site captures inquiries, and to send you our observations.

A scan is our professional opinion at a point in time, based on what we can observe from the outside. It is not an audit, a certification, or a guarantee of any outcome. We may decline to perform a scan, and we may stop offering scans at any time. Booking a consultation likewise creates no obligation for either party until a written engagement is agreed.

5. Engagements and Payment

Paid work begins only under a separate written agreement that sets out the scope, deliverables, timeline, and fees for that engagement. No payment is collected through this Site, and nothing on this Site is an offer to sell at a stated price.

Where a signed proposal or statement of work conflicts with these Terms, that document governs the engagement it covers, and these Terms continue to govern your use of the Site.

6. No Guaranteed Results

We measure our work and we report the results honestly, but outcomes depend on factors outside our control, including your market, your pricing, your staffing, and the policies of third-party platforms such as search engines and advertising networks.

We do not guarantee search rankings, traffic, lead volume, revenue, or any other specific result, and no statement on this Site should be read as such a guarantee. Any figures shown on the Site that are drawn from published industry research are labeled as industry figures and describe the market generally, not the results you should expect.

7. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Site for any unlawful, fraudulent, or malicious purpose.
• Submit information through our forms that is false, or that belongs to someone else without their permission.
• Scrape, crawl, or use automated means to extract data from the Site.
• Interfere with, disrupt, or place an undue burden on the Site or its infrastructure, including by submitting our forms repeatedly or in bulk.
• Circumvent or attempt to circumvent any access controls, rate limits, or security measures.
• Upload or transmit malicious code, viruses, or any other harmful technology.

8. Intellectual Property

The Site, including its software, design, text, graphics, and underlying technology, is owned by Apex Automations LLC and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Site.

You retain ownership of any materials you send us, such as information about your business submitted through our forms. By sending them, you grant us a limited, non-exclusive license to use those materials for the purpose of responding to you and performing any work you engage us to do. Ownership of work we produce for a client is determined by that client's written engagement agreement.

9. AI-Generated Content

Our work often involves artificial intelligence, and systems we build for clients may generate content, analyses, and recommendations. All AI-generated output is informational and should not be treated as professional, legal, or financial advice.

AI-generated content can contain errors, inaccuracies, or omissions. Where we deliver such a system, the client is responsible for reviewing and verifying its output before relying on it or distributing it to third parties, and we will say so plainly in the engagement agreement. We make no warranty as to the accuracy, completeness, or fitness for a particular purpose of AI-generated content.

10. Third-Party Services and Links

The Site relies on third-party providers for scheduling, analytics, and email delivery, as described in our Privacy Policy. The Site may also link to third-party websites. We do not control those services or sites and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms.

11. Data and Privacy

Our handling of information you provide is described in our Privacy Policy. By using the Site, you consent to the practices set out there. We apply commercially reasonable security measures, but no method of electronic transmission or storage is completely secure.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APEX AUTOMATIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, AND WHERE YOU HAVE PAID US NOTHING, SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

13. Availability and Changes to the Site

We may change, suspend, or discontinue any part of the Site at any time, including the free site scan offer, without notice. We may also decline to respond to, or to work with, any person or business at our discretion.

14. Modifications to These Terms

We may modify these Terms at any time. Material changes will be posted here with an updated effective date. Your continued use of the Site after a change takes effect constitutes acceptance of the revised Terms. If you do not agree to them, please stop using the Site.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York.
